Effective Date:
This agreement (“Agreement”) is entered into between the Client (“Client” or “You”) and PRACSAC, a legal entity duly incorporated under the laws of the Republic of Peru, operating under the trade name NUMBOXWSP, which provides preconfigured virtual numbers for exclusive use with the official WhatsApp Business API (“the Service”).
By contracting the Service, the Client declares to have read, understood, and fully accepted the terms and conditions described below.
NUMBOXWSP provides the Client with a virtual number:
Preconfigured and registered for exclusive use with the official WhatsApp Business API.
Not enabled for phone calls or SMS messages.
Designed to be connected with virtual assistants, automation tools, CRMs, or other solutions the Client determines.
Setup fee: $19.00 USD (plus applicable taxes).
Monthly service fee: $10.00 USD per month (plus applicable taxes).
Payments are non-refundable, except where required by law.
The Client agrees to keep the service active for a mandatory minimum period of six (6) months from the activation date.
If the Client wishes to cancel the assigned number, written notice must be given at least thirty (30) calendar days before the next billing cycle.
Early cancellation before completing the 6-month period does not exempt the Client from paying the remaining months to complete said minimum term.
The assigned number may only be used within the official WhatsApp Business API.
The Client may not use the number for:
Phone calls.
Sending or receiving traditional text messages (SMS).
Any purpose other than that authorized by Meta (WhatsApp) and this agreement.
5.1 Prohibited Illegal Use
The Client agrees not to use the number provided by NUMBOXWSP for illegal, criminal, fraudulent, or unlawful purposes, including but not limited to:
Identity theft.
Electronic scams or fraud.
Extortion, harassment, or misuse of personal data.
Activities that violate the policies of Meta, WhatsApp, or laws of the United States, Peru, or any other relevant jurisdiction.
5.2 Full Release of Liability
PRACSAC and NUMBOXWSP are expressly released from any civil, administrative, or criminal liability arising from the improper or illegal use of the number assigned to the Client.
The Client assumes full and exclusive responsibility for the content, messages, automations, interactions, or actions executed through their number.
5.3 Indemnification for Damages
If the Client’s misuse or illegal use of the number causes economic, reputational, or legal harm to PRACSAC or NUMBOXWSP, the Client agrees to indemnify for all damages, including legal costs, fines, attorney fees, and commercial losses.
The assigned number does not constitute the Client’s property.
Ownership remains with PRACSAC or the authorized provider, and the number is assigned on a non-transferable and temporary basis.
PRACSAC reserves the right to suspend or terminate the service without prior notice if:
The Client fails to make payments.
Unauthorized, prohibited, or illegal use is detected.
There are sufficient reasons that jeopardize the continuity of the service.
By contracting the service and checking the acceptance box on the NUMBOXWSP website, the Client declares:
That they have read, understood, and fully accepted the terms of this agreement.
That the digital acceptance is legally valid and constitutes their electronic signature, in accordance with applicable legislation.
This agreement shall be governed by the laws of the Republic of Peru, and any interpretation, dispute, or claim shall be subject to Peruvian law and jurisprudence, without prejudice to the Client’s compliance with applicable regulations in the United States.
In the event of a dispute, PRACSAC reserves the exclusive right to choose the jurisdiction it deems most appropriate, including Peruvian or international courts, as necessary to protect its interests.
